Shipping policy
Effective Date: January 2026
These Terms of Service (“Terms”) govern all purchases, transactions, and interactions between Spa De Soleil (“Company,” “we,” “us”) and the customer (“Customer,” “you”). By placing an order, submitting payment, or engaging Spa De Soleil for products or services, you agree to be bound by these Terms.
1. B2B Relationship
Spa De Soleil operates exclusively as a business-to-business (B2B) manufacturer and wholesaler. All products and services are sold for commercial, resale, or professional use only. Consumer protection laws do not apply.
2. Orders & Acceptance
All orders are subject to written acceptance by Spa De Soleil. Pricing, lead times, specifications, and availability are not final until confirmed in writing. Spa De Soleil reserves the right to reject or cancel any order at its sole discretion.
3. Pricing & Payment
All prices are quoted in U.S. dollars unless stated otherwise. Payment terms are specified at the time of order acceptance. Full payment may be required prior to production or shipment.
Late payments may result in order suspension, delays, or cancellation and may incur interest, collection costs, or legal fees.
4. Custom, EZ-Run & Made-to-Order Products
All custom, private label, EZ-Run, or made-to-order products are final sale and non-cancelable, non-returnable, and non-refundable once production has begun.
5. Production & Lead Times
Production timelines are estimates only. Delays caused by raw material availability, packaging supply, regulatory review, labor, force majeure, or third-party vendors do not constitute breach of contract.
6. Shipping & Risk of Loss
All orders ship FOB Origin unless otherwise agreed in writing. Title and risk of loss transfer to the Customer once the shipment leaves Spa De Soleil’s facility.
Shipping costs are non-refundable. Spa De Soleil is not responsible for carrier delays, losses, or damages once in transit.
7. Inspection & Claims
Customer must inspect all shipments immediately upon delivery. Any claims for damage, loss, or shortage must be reported within 24 hours of delivery and must include documentation and photos.
Claims submitted after 24 hours are waived.
8. Intellectual Property
All formulations, processes, documentation, designs, and proprietary information remain the intellectual property of Spa De Soleil unless otherwise agreed in writing. Unauthorized reproduction, disclosure, or use is prohibited.
9. Regulatory & Compliance
Customer is solely responsible for ensuring that products comply with all applicable laws, regulations, labeling, claims, marketing, and resale requirements in their intended market.
Spa De Soleil makes no guarantee regarding regulatory approval beyond what is expressly stated in writing.
10. Limitation of Liability
To the maximum extent permitted by law, Spa De Soleil shall not be liable for any indirect, incidental, consequential, special, or lost-profit damages.
Spa De Soleil’s total liability for any claim shall not exceed the amount paid by the Customer for the specific order giving rise to the claim.
11. Indemnification
Customer agrees to indemnify and hold harmless Spa De Soleil from any claims, damages, losses, or expenses arising from Customer’s use, resale, marketing, labeling, or distribution of the products.
12. No Warranties
Products are provided “as is” without any express or implied warranties, including merchantability or fitness for a particular purpose, except as expressly stated in writing.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Venue shall lie exclusively in California courts.
14. Modifications
Spa De Soleil reserves the right to update or modify these Terms at any time. Updated Terms apply to all future orders.
